1. Who we are and when these terms apply
HoneyBerry AI is a product of Axyva eSolution Private Limited, India ("Axyva", "we", "us"). These terms cover our website and the HoneyBerry AI services we agree to provide to individual and business customers.
A paid service starts when you accept a proposal, order form, or other service agreement. That agreement sets out your scope and commercial terms. A signed agreement takes priority over these terms where they conflict, but neither can override rights that applicable law makes non-excludable. Our Privacy Policy explains personal-data handling; our Refunds & Cancellation Policy explains cancellations and refunds.
2. Eligibility and account responsibility
You must be at least 18 and legally able to enter a contract to purchase or administer our services. If you act for an organisation, you must have authority to bind it. Keep your contact and billing details accurate, protect your sign-in credentials, and tell us promptly if you suspect unauthorised access.
3. Your service and setup
Channels, assistants, workflows, integrations, usage, onboarding, and support are limited to the scope in your accepted agreement. Features and connected actions depend on your configuration, permissions, available integrations, and third-party services. Examples on this website illustrate possible workflows and are not promises of a particular result.
You are responsible for supplying accurate business information, reviewing the setup, providing authorised access, and keeping the information your assistant uses up to date. Changes to scope, fees, or an agreed service commitment require agreement; a website update does not by itself change an existing paid order.
4. AI outputs and human oversight
AI can produce incorrect, incomplete, or inappropriate answers. Review important outputs and configured actions, set appropriate handoff points, and keep a person responsible for decisions that affect customers. No particular level of accuracy, revenue, lead conversion, or business outcome is guaranteed.
Do not use HoneyBerry AI as an emergency service or as a substitute for qualified medical, legal, financial, or other professional advice. Do not use it to make solely automated decisions with legal or similarly significant effects unless the use is expressly agreed, lawful, and supported by the required safeguards.
5. Acceptable use
- Use the service lawfully and respect privacy, intellectual-property rights, platform rules, and other people.
- Do not send unlawful, deceptive, harassing, discriminatory, or unsolicited messages, impersonate others, or use the service for fraud.
- Do not upload data you are not authorised to use, compromise security, introduce malicious code, or attempt unauthorised access.
- Do not bypass usage restrictions or resell access unless your agreement allows it.
You are responsible for the notices, permissions, consent, opt-outs, and other lawful bases required for your customer messages and connected workflows. Sensitive information, children's data, and regulated use cases must be reviewed with us before they are included in a setup.
6. Your data, confidentiality, and processing
You retain your rights in the business content and customer data you provide. You authorise us to process that information only as needed to supply, support, secure, and fulfil the agreed service, comply with law, and follow your lawful instructions. We do not use customer data to train AI models or make it public.
We may use OpenAI, Anthropic, Google, and other service providers identified for your setup to deliver the service. Necessary provider processing is subject to the applicable data-processing terms. Where required, an appropriate data-processing agreement and international-transfer safeguards must be in place before customer personal data is processed.
Each party must protect the other's non-public business information and use it only for the agreed relationship or as required by law. This does not restrict information already lawfully public, independently developed, or lawfully obtained elsewhere.
7. Quotes, fees, and renewal
Pricing is quoted individually. Your accepted agreement identifies the fees, currency, applicable taxes, payment schedule, included usage, and any additional charges. We will not charge for an unapproved expansion of scope. Third-party charges are separate where your agreement says so.
A subscription renews automatically only if that arrangement, the recurring amount or method of calculating it, renewal interval, and cancellation method have been disclosed and accepted. Any required renewal reminders, consent, and price-change notices remain subject to applicable law. You may cancel a renewal through your agreed support channel or by emailing hello@axyva.com.
8. Cancellation and refunds
We do not offer voluntary refunds for change of mind, unused time, or a decision to stop using an agreed service. Cancellation stops future renewals in accordance with your agreement; it does not normally refund an amount already paid. This policy is subject to every mandatory cancellation, withdrawal, refund, and service-remedy right described in our Refunds & Cancellation Policy.
Contact us about billing errors, unauthorised charges, non-delivery, or a service problem. Nothing in these terms prevents a lawful payment dispute, complaint to a regulator, or exercise of a statutory remedy.
9. Connected and third-party services
Messaging networks, AI providers, payment services, and other connected tools may have their own terms, usage limits, and availability. You must maintain the accounts and permissions your setup needs. We will explain material dependencies in the agreed scope. This section does not exclude responsibility that applicable law places on us for our own service or our service providers.
10. Intellectual property
Axyva and its licensors retain their rights in HoneyBerry AI's software, branding, website, and other materials. Your agreement gives you permission to use the agreed service during its term; it does not transfer ownership of the platform. Ownership and use of commissioned deliverables are governed by your agreement. AI-generated content may not be unique or eligible for exclusive intellectual-property protection.
11. Suspension and ending a service
We may restrict access where reasonably necessary to address a security threat, unlawful use, a material breach, or overdue payment. Where practical and lawful, we will explain the issue and allow a reasonable opportunity to resolve it. Any suspension must be proportionate to the issue.
Either party may end a service under the accepted agreement or applicable law. Ask about export and deletion before access ends; these arrangements belong in your service and data-processing terms. Ending access does not remove outstanding lawful payment obligations, confidentiality duties, data-protection obligations, or mandatory refund rights.
12. Warranties and responsibility
We will provide the services described in your accepted agreement. Except for express commitments and rights imposed by law, we do not warrant uninterrupted operation, error-free AI outputs, or suitability for a purpose we have not agreed to support. Any separately negotiated limitation of liability applies only to the extent lawful.
Nothing excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence where such exclusion is prohibited, or any other liability or consumer guarantee that cannot lawfully be excluded. Mandatory rights take priority over a disclaimer, a liability limit, or a no-refund statement.
13. Customers in different countries
These terms are subject to applicable law in the United States, the European Union, Australia, New Zealand, and India. The protections that apply depend on your location, whether you are acting as a consumer, and the nature of the transaction. A business purchase may still attract statutory protection.
EU consumer withdrawal and digital-service rights, Australian Consumer Law guarantees, New Zealand Consumer Guarantees Act rights, applicable US federal and state consumer protections, and Indian consumer protections are preserved wherever they apply. No general acceptance of these terms is a waiver of a statutory withdrawal right.
14. Questions, disputes, and changes
Contact hello@axyva.com so we can try to resolve a concern. This is not a compulsory step before using a court, regulator, ombudsman, or other remedy available by law.
Unless an accepted agreement provides otherwise, Indian law governs these terms, subject to mandatory protections and jurisdiction rules in your country. A consumer keeps any right to bring proceedings in their local courts. These terms do not impose arbitration or waive class-action rights.
We may update these website terms and will identify the revision date. Material changes affecting an existing service require the notice and agreement applicable to that service; changes are not retroactive. If a provision is unenforceable, the remaining provisions apply to the extent lawful.
